High-Level Job Description
This full-time position will provide expert legal advice and support across all FlyteVu operations areas. This role covers intellectual property, contract negotiation, corporate governance, regulatory compliance, dispute resolution, and more. The Legal Counsel will help drive business growth while ensuring FlyteVu remains compliant and protected from legal risk.
Detailed Job Description/Responsibilities
- Contract Drafting & Negotiation
- Draft, review, and negotiate a wide range of contracts, including client agreements, talent agreements, employment contracts, vendor contracts, MSAs, SOWs, partnership deals, licensing, confidentiality, and intellectual property agreements
- Ensure all contracts comply with applicable laws, protect FlyteVu’s interests, and support business goals
- Intellectual Property Management
- Oversee and manage Flytevu’s intellectual property portfolio, including trademarks, copyrights, patents, and domain names—internally and for our clients
- Advise creative and marketing teams on IP-related matters, including usage and infringement risks
- Handle all aspects of IP registration, enforcement, opposition, disputes, and litigation as needed
- Legal Compliance
- Ensure ongoing compliance with local, state, and international laws, including data privacy (e.g., GDPR, CCPA), advertising laws, and consumer protection regulations
- Stay ahead of regulatory changes affecting the industry and FlyteVu’s services
- Provide strategic guidance on legal and ethical issues related to marketing and branding initiatives
- Risk Management
- Identify and assess legal risks related to branding strategies, client campaigns, and business operations
- Develop proactive risk mitigation strategies to minimize legal exposure
- Dispute Resolution & Litigation
- Manage legal disputes, including client/vendor issues, IP infringements, and contract breaches
- Represent FlyteVu or coordinate with external counsel, providing strategic input and oversight
- Offer advice on settlement options and anticipated legal outcomes
- Corporate Governance & Corporate Affairs
- Advise on corporate governance topics such as structure, board governance, and shareholder rights
- Support employment law compliance, internal policies, and procedures
- Assist with regulatory filings and corporate reporting requirements
- Client & Team Collaborations
- Partner with project leads, PR, creative, and account teams to offer proactive legal insights during campaign planning and execution
- Review marketing materials to ensure compliance with advertising and trademark law
- Work with clients to craft clear, enforceable legal terms in service agreements and scopes of work
- Education & Training
- Educate internal teams on legal best practices and compliance related to branding and marketing
- Conduct training sessions on IP rights, contract management, and key legal responsibilities
- General Legal Advisory
- As FlyteVu grows, provide legal guidance on business operations, privacy policies, employment issues, tax law, and cross-border matters
- Offer support across various legal areas to ensure smooth day-to-day operations
- Legal Budget Oversight: Track and manage legal expenses to ensure the budget covers ongoing legal requirements and unforeseen issues
- External Counsel Engagement: Determine when to bring in external legal experts for specialized needs, ensuring efficient and cost-effective use of outside counsel

Required Competencies/Skills
- 5+ years of legal experience, ideally within branding, advertising, marketing, entertainment, or the creative industry
- Strong background in intellectual property, contract negotiation, and commercial law
- Knowledge of advertising and digital marketing regulations, consumer protection, and privacy laws
- Expertise in corporate governance and employment law is a plus
- Excellent contract drafting and negotiation abilities
- Sharp analytical and problem-solving skills with a practical approach to legal issues
- Exceptional communication and interpersonal skills—comfortable working cross-functionally
- Ability to juggle multiple legal matters and meet deadlines in a fast-paced environment
- High integrity, sound judgment, and strict confidentiality
Education Requirement
- Juris Doctor (JD) or equivalent from an accredited law school
- Active membership in a U.S. state bar or relevant legal authority
